1. Introduction

Welcome to Alpha Training & Consulting ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Alpha Training & Consulting website, services, and training programs, including the ASQ CQA certification training program (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Services.

2. Services Description

Alpha Training & Consulting provides training and educational services related to ASQ certifications, including but not limited to the Certified Quality Auditor (CQA) certification. Our Services include in-person and virtual training, educational materials, practice exams, and related support.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of our Services.

3. Registration and Account

Some parts of our Services require you to register for an account. When you register, you agree to provide accurate, current, and complete information about yourself. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

4. Payment Terms

The fees for our Services are published on our website and are subject to change. All fees are non-refundable unless otherwise specified in our refund policy.

You agree to pay all fees and charges associated with your account on a timely basis and with a valid payment method. By providing payment information, you represent and warrant that you are authorized to use the designated payment method.

Our refund policy allows for full refunds up to 14 days before the training start date and 50% refunds up to 7 days before the start date. No refunds will be issued within 7 days of the start date or after the training has commenced.

5. Intellectual Property

All content, materials, and intellectual property included in or made available through our Services, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, are the property of Alpha Training & Consulting or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may access and use our content and materials solely for your personal, non-commercial use in connection with your participation in our training programs. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our materials without our prior written consent.

6. User Conduct

When using our Services, you agree not to:

• Violate any applicable law, regulation, or these Terms
• Infringe on the intellectual property rights of others
• Interfere with or disrupt our Services or servers
• Attempt to gain unauthorized access to any part of our Services
• Use our Services for any illegal or unauthorized purpose
• Share your account credentials with others or allow others to access your account
• Distribute, share, or resell any materials provided as part of our Services

7. Limitation of Liability

To the maximum extent permitted by law, Alpha Training & Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use our Services
• Any conduct or content of any third party on our Services
• Any content obtained from our Services
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the amount you paid to us for our Services in the 12 months preceding the claim.

8. Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis without any warranties, express or implied. Alpha Training & Consulting disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that our Services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We do not guarantee that any specific results will be obtained from the use of our Services, including passing any certification exam.

9. Indemnification

You agree to indemnify, defend, and hold harmless Alpha Training & Consulting and our officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:

• Your use or misuse of our Services
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your conduct in connection with our Services

10. Termination

We may terminate or suspend your access to all or part of our Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes to these Terms by posting the revised Terms on our website with a new "Last Updated" date. Your continued use of our Services after such changes constitutes your acceptance of the revised Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Salt Lake County, Utah.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Alpha Training & Consulting regarding your use of our Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
